(THIS APPLICATION AND ALL PURCHASES HEREUNDER WILL BE SUBJECT TO THE TERMS OF THIS AGREEMENT)
This Application for Credit and Contract (Application) is submitted by the undersigned (Applicant) for the purpose of obtaining an open charge account with American Stone Sales, Inc. , and its affiliates and divisions. All representations made by Applicant herein are accurate, complete and truthful to the best of the Applicant’s knowledge and belief. In consideration of this application being approved and credit being extended by American Stone Sales, Inc., Applicant agrees to be bound by the following terms of American Stone Sales, Inc.:

This Application is not for extended credit but for an open account for the purchase of goods and services.
All invoices are due in full by the 10th day of the month following the date of invoice (Net 10th Prox). Service charges will be imposed if the amounts are not paid before or on the date they become due.
Service charges / finance charges will be assessed on all past due balances at the rate of 2.0% per month from the date the balance becomes due, both before and after judgment, continuing monthly until paid in full.
It is agreed that on any account placed in the hands of an attorney for collection or if collected through suit, probate, bankruptcy proceeding or by collection agency or person, there will be paid, in addition to all other charges, the actual collection, attorneys fees, court costs, constable or service fees, and/or other costs incurred in collecting said account.
Applicant agrees that jurisdiction and venue will be determined by the sole discretion of American Stone Sales, Inc., and by its signature, subjects itself to the jurisdiction of that court.
Applicant agrees this Agreement will be governed by the laws of the State of Utah.
Applicant warrants that it is authorized to complete this Application and agrees to its terms.
Applicant authorizes American Stone Sales, Inc. to investigate any references listed pertaining to Applicant’s credit and financial responsibility.
Oral statements made by salespeople or other representatives are not binding on American Stone Sales, Inc.
American Stone Sales, Inc. has the right to deny any credit application or to deny any additional extension of credit for any reason allowed by law, including, but not limited to, a delinquent balance. American Stone Sales, Inc. reserves the right to terminate this Application and Applicant’s credit without notice and without liability to American Stone Sales, Inc. for any reason allowed by law, including but not limited to, breach of this Agreement and Applicant’s unsatisfactory credit. Upon such termination, all principal and interest then remaining unpaid on all Applicants’ accounts will be immediately due and payable, all without demand, presentment or notice, all of which are hereby expressly waived
American Stone Sales, Inc. may charge a fee of $35.00 whenever any check, similar instrument, or electronic payment received by American Stone Sales, Inc., as payment on the Applicant’s account, is not honored upon presentment.
All orders are subject to Applicant’s credit and acceptance of the order by American Stone Sales, Inc.
Credit will be allowed for goods returned within 30 days, provided that the goods are returnable. A deduction of 25% will be made from all credits issued to cover any handling, restocking, or other costs associated with the return.
If Applicant disputes an American Stone Sales, Inc., invoice or statement, it must notify American Stone Sales, Inc., in writing within 60 days of the date of said invoice or statement. Any dispute not brought to American Stone Sales, Inc.’s attention within 60 days is expressly waived by Applicant.
Applicant will immediately notify American Stone Sales, Inc. of any changes in the information provided in this Application, in ownership or status of ownership of Applicant, or to the mailing or email address to which American Stone Sales, Inc., sends billing invoices or statements.
American Stone Sales, Inc., may change the terms of or add new terms to this Agreement at any time.
In no event will American Stone Sales, Inc. be liable for any special, consequential, indirect, and exemplary or punitive damages whatsoever, including, but not limited to, lost revenue or profits, loss of business or loss of business opportunity, whether or not American Stone Sales, Inc., has been advised of the possibility of such damages.
SECURITY AGREEMENT: The undersigned hereby grants American Stone Sales, Inc. a security interest in any and all stone or other products delivered by American Stone Sales, Inc. to the undersigned (hereinafter "the Collateral"), and any and all additions and accessions, proceeds and after acquired property of a like description to secure payment of all obligations owned by the undersigned to American Stone Sales, Inc.

The undersigned hereby warrants and covenants that except for the security interest granted hereby the undersigned will keep the Collateral free from any adverse lien, security interest or encumbrance; and the undersigned will defend the Collateral against, and hold Secured Party harmless from, all claims and demands of all persons at any time claiming the same or any interest therein. The undersigned consents to the electronic filing by American Stone Sales, Inc. or its agents of a financing statement whose terms are consistent with this security agreement.

The undersigned shall be in default under this agreement upon the happening of any of the following events or conditions:

Default in the payment or performance of any obligation, covenant or liability contained or referred to herein or in any other payment instrument held by American Stone Sales, Inc. and on which the undersigned is obligated in any capacity;
Any warranty, representation or statement made or furnished to American Stone Sales, Inc. by or on behalf of the undersigned proves to have been false in any material respect when made or furnished;
Loss, theft, substantial damage, destruction or encumbrance to or of any of the Collateral, or the making of any levy, seizure or attachment thereof or thereon;
Death, dissolution, termination of existence, insolvency, business failure, appointment of a receiver of any part of the property of, assignment for the benefit of creditors by, or the commencement of any proceeding under any bankruptcy or insolvency laws by or against, the undersigned or any guarantor or surety for the undersigned.

Upon default and at any time thereafter American Stone Sales, Inc. may declare all obligations owed by the undersigned to American Stone Sales, Inc.. immediately due and payable and shall have the remedies of a secured party under the Uniform Commercial Code. American Stone Sales, Inc. may require the undersigned to assemble the Collateral and make it available to American Stone Sales, Inc.. at a place to be designated by American Stone Sales, Inc. which is reasonably convenient to both parties.

ENTIRE AGREEMENT:

The terms of this Agreement will not be waived, altered, modified, amended, supplemented or terminated in any manner whatsoever except by a written instrument signed by American Stone Sales, Inc.’s President. Any and all prior credit applications, and all written information provided for or with this or any prior applications, including personal guarantees, are incorporated in and made a part of this Agreement. Acceptance by the Applicant of the credit covered by these terms and conditions will constitute acceptance of these terms and conditions.

No delay or failure by American Stone Sales, Inc. to exercise or enforce, at any time, any right or provision of this Agreement will be considered a waiver thereto or of it’s right thereafter to exercise and enforce each and every right and provision of this Agreement.

NOTICE: The Federal Equal Opportunity Act prohibits creditors from discriminating against credit applicants on the basis of race, color, religion, national origin, sex, marital status, age (provided the applicant has the capacity to enter into a binding contract); because all or part of the applicant’s income derives from any public assistance programs; or because the applicant has in good faith exercised any right under the Consumer Credit Protection Act. The federal agency that administers compliance with this law concerning this creditor is the Federal Trade Commission.

CERTIFICATION BY APPLICANT: Applicant certifies that everything it has stated in this Application and on any attachments is correct. American Stone Sales, Inc. may keep this Application whether or not it is approved. Applicant authorizes American Stone Sales, Inc., to obtain its credit from any credit reporting agency, and to answer questions others may ask about its credit record from American Stone Sales, Inc. Applicant also authorizes the release of credit and banking information to American Stone Sales, Inc. and designees by the references listed on this Application. Applicant understands that it must update its credit information at American Stone Sales, Inc.’s request if it’s financial condition changes. Applicant also grants express permission to American Stone Sales, Inc., and its affiliates to transmit to the facsimile machine numbers listed in this Application any information relating to any product purchased by Applicant with credit American Stone Sales, Inc.
